Terms & Conditions of Sale

By accepting these Terms and Conditions at the point of sale and completing the purchase, you (“Customer”) acknowledge that Customer has read, understands and agrees to be bound by these Terms and Conditions, which shall survive the purchase of copies of design drawings of Farr Yacht Design, Ltd. (“FYD”).

Ownership and Use of Design and Drawings

Customer is purchasing only copies of FYD’s design drawings. All aspects of the designs prepared by FYD (the “Designs”) are and shall continue to be the exclusive property of FYD and the disclosure of the Design through the sale of a copy of the Design drawing (a “Drawing”) to Customer shall not be construed as conferring any property rights in the Design to Customer or its agents.

FYD retains all right, title and interest in and to the Drawings, the Designs, and all related plans, specifications, calculations, renderings, technical information, data, know-how, trade secrets, copyrights, design rights, vessel hull design rights, trademark rights, patent rights and other intellectual property and proprietary rights, whether registered or unregistered.

The marks FARR®, Farr® (script) and F® (script) are trademarks licensed by FYD. Customer acquires no rights in said trademarks.

Customer shall keep the Drawings and the information contained therein confidential and shall not disclose them to any third party except as expressly permitted under the Terms and Conditions. Customer shall use reasonable care to prevent unauthorized access, copying, disclosure or use of the Drawings.

Use of the Purchased Drawings

Subject to Customer’s compliance with these Terms and Conditions, FYD grants Customer a limited, non-exclusive, non-transferable, revocable license to use the purchased copy of the Drawing solely for Customer’s personal, non-commercial use, such as display or for yacht maintenance, repair, restoration or similar personal purposes. Customer shall not directly or indirectly (a) copy, scan, photograph, digitize, reproduce, publish, upload, post, transmit, sell, resell, or distribute the Drawing; (b) use any Drawing, Design or information contained therein to construct, design, commission, reverse engineer any vessel or component thereof; (c) convert any Drawing into CAD or other manufacturing or construction format; (d) remove or alter any copyright notice, trademark, watermark, serial number or other proprietary notice or identification on the Drawing; (e) use the Drawing for any commercial purpose; or (f) authorize any third party to do any of the foregoing.

No License to Build

No license is conferred to Customer to construct, commission, reproduce or create a vessel or component thereof, or the design for a vessel or component thereof, through use of the Drawing.

Patterns

Where the purchased item is identified on the product page and on the receipt as a Pattern (an archive of DXF cut files for a keel, rudder or other component of the Design), then for that Pattern only, and notwithstanding clauses (b) and (c) above and the section headed No License to Build, FYD grants Customer a limited, non-exclusive, non-transferable, revocable license to use the Pattern to fabricate that component for one (1) vessel built to the Design. Every other provision of these Terms and Conditions applies to a Pattern as it applies to a Drawing, including the prohibitions on copying, reproduction, resale and distribution, the section headed No Warranty, and Customer’s responsibility to have the fabricated component and its installation verified by a qualified professional.

No Warranty

The Drawings are provided As Is and With All Faults. To the maximum extent permitted by law, FYD disclaims all warranties, express or implied, statutory or otherwise, including any implied warranties of merchantability or fitness for a particular purpose. Customer shall not rely on the Drawings as construction-ready, engineering-certified, class-approved or suitable for any particular technical use.

Breach

Customer’s failure to comply with any of these Terms and Conditions shall constitute a breach and subject Customer to claims by FYD for damages, injunctive relief, specific performance, equitable relief, recovery of profits and attorney’s fees.

Limitation and Waiver of Liability

In the event that FYD is found liable to Customer in connection with Customer’s purchase and sale of the Drawings, the total maximum liability of FYD under any and all theories of liability shall be limited to the total amount paid by Customer for the Drawings through FYD’s website. Customer waives their right to any consequential, incidental, special and/or punitive damages. Under no circumstances shall any member, director, officer, employee, contractor, representative or agent of FYD have any individual liability to Customer.

Indemnification

Customer shall defend, indemnify and hold harmless FYD, its officers, directors, stockholders, employees, contractors, and agents, from and against all claims, demands, actions, judgments, costs, loss, damages, injury, death, legal fees and expenses, or other liability in the event any such liability is in any way caused by the breach of these Terms and Conditions by Customer, or its employees, contractors, agents, or other parties contracted or hired by Customer.

Miscellaneous Provisions

These Terms and Conditions shall be binding upon and shall inure to the benefit of Customer and FYD and their respective successors, permitted assigns, legal or personal representatives, or partners. Customer may not assign its rights hereunder.

All claims or disputes between FYD and Customer shall be resolved through litigation in a Maryland state or federal court of competent jurisdiction and shall be governed by the laws of Maryland. The parties consent and agree to Maryland as the exclusive jurisdiction and venue for resolution of any and all disputes between them. Customer shall reimburse FYD for all reasonable attorney’s fees and costs incurred by FYD in enforcing these Terms and Conditions or protecting its rights in the Drawings and Designs.

FYD and Customer hereby waive a trial by jury for any dispute arising out of Customer’s purchase of the Drawing(s).
